This Facility Access Liability Waiver (this “Agreement”) is being executed by you in favor of CathTeam, LLC, a Delaware limited liability company (“CathTeam”).

1. As part of your training and/or manufacturing process development work, CathTeam will allow you access to CathTeam’s training and manufacturing facilities currently located at 2372 Morse Avenue, STE 22, Irvine CA, 92614, USA or any other facilities owned or leased by CathTeam that are mutually agreed-upon by you and CathTeam (collectively, the “Facility”).

2. You acknowledge and accept that entering into and working in a manufacturing and/or test facility involves inherent risks, including, but not limited to, bruises, skin abrasions, cuts and broken bones, as well as more serious injuries and death. The Facility contains heavy equipment, potentially hazardous materials and tools that can cause serious injury, and as part of your training and/or manufacturing process development work, you may need to engage with all of the foregoing. You understand that no amount of care, caution, instruction, supervision, or expertise can totally eliminate these risks, and you agree to exercise caution and common sense at all times to avoid injury. You voluntarily assume all risks of loss, damage, and/or injury that may be sustained while accessing the Facility.

3. You, on behalf of yourself, your personal representatives, family members, heirs, and assigns, agree not to sue or otherwise hold CathTeam or its stockholders, directors, officers, employees or representatives (collectively, the “Releasees”) responsible in any way now or at any time in the future for any injury, loss, damage, or disablement sustained during supervised or unsupervised access to the Facility or the performance of any activities associated with the Facility or CathTeam, or any other party on behalf of the CathTeam. You also agree not to hold liable any other person that has access to the Facility for any injury or other loss or damage that you may sustain.

4. You agree to indemnify and hold harmless the Releasees and each of them from any loss, liability, damage, or cost, including, without limitation, attorneys’ fees and expert witness fees, they may incur due to the breach of the agreements in Section 3 of this Agreement by you or any of your personal representatives, family members, heirs, and assigns.

5. In the event of an emergency, you consent to whatever medical care might be provided or available on the premises and further acknowledge that you will bear the full cost of any such treatment and sole responsibility for any injury you may sustain.

6. You understand that the liability waivers in this Agreement are intended to be as broad and inclusive as permitted by law and that if any portion of this Agreement is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.

7. CathTeam and/or others representing CathTeam or acting on CathTeam’s behalf may capture photos and video during your access to the Facility to be used for promotional purposes, and you grant permission to CathTeam to use your likeness and voice for marketing and other
business-related activities without compensation.

8. If any party seeks to enforce its rights under this Agreement by legal proceedings, the non-prevailing party will pay all costs and expenses incurred by the prevailing party, including, without limitation, all reasonable attorneys’ fees.

9. This Agreement will be interpreted in accordance with and governed by the laws of the State of California, without regard to principles of conflicts of law. The exclusive venue for any dispute relating to this Agreement will be in Orange County, California. 

By signing below, you agree that you have read and understand this Agreement in its entirety,
and you understand the risks involved in accessing the Facility.
